Iselino – Freelancer Agreement
This Freelancer Agreement (“Agreement”) legally governs the contractual relationship between Iselino and users who register, list profile data, and offer professional services as independent service providers (“Freelancer” or “Freelancers”) on the Iselino platform.
Iselino is owned and operated by Fina Iselino Ltd, 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom (“Iselino”, “we”, “us”, “our”), across its official domains including iselino.com, iselino.de, and iselino.es.
By creating a professional Freelancer account, publishing a service listing (“Gig”), or bidding on open customer requests on Iselino, you explicitly declare that you accept and agree to be bound by this Agreement, our General Terms & Conditions, and all incorporated platform policies.
1. Freelancer Status & Relationship
1.1 Independent Contractor
- Freelancers operate exclusively as independent business contractors or freelancers. Registration does not establish an employment relationship, agency status, commercial partnership, or joint venture with Iselino.
- Freelancers maintain total autonomy over their professional operations and are solely responsible for the services they provide, including setting individual project pricing, fulfillment timelines, quality parameters, and guaranteeing full compliance with localized legislation.
1.2 No Legal Agency
Freelancers are not legally authorized to bind, obligate, sign for, or enter into financial responsibilities on behalf of Iselino, nor may they present themselves to third parties as authorized representatives or legal agents of the platform.
1.3 The Service Contract
- Each transaction or service order finalized on the marketplace forms a direct, legally binding service contract concluded exclusively between the respective Freelancer and the Employer.
- Iselino acts solely as a technological infrastructure platform designed to facilitate connections and secure escrow routing. Iselino is not a party to, nor responsible for the performance of, any underlying service contracts.
2. Eligibility & Freelancer Obligations
To list professional profiles or publish Gigs on the marketplace, Freelancers must strictly adhere to the following baseline rules:
- Be at least 18 years of age and possess full capacity to execute legally binding agreements.
- Provide complete, accurate, truthful, and non-deceptive profile documentation during account registration.
- Deliver and execute finalized project milestones professionally, ethically, and exactly as described in their published Gig specifications.
- Operate in continuous compliance with all applicable domestic and international business, employment, taxation, and consumer protection laws.
- Acknowledge that Freelancer accounts are strictly personal and cannot be transferred, shared, sold, leased, or assigned to other individuals.
3. Service Listings, Gigs & Content
3.1 Gigs & Listings Clearances
Service descriptions and posted Gigs must be kept clear, realistic, and completely free of misleading terminology. Your description must plainly layout the exact deliverables included, explicit turnaround and delivery timelines, and any specific prerequisite materials required from the Employer to initiate the work.
3.2 Content Rights Warranty
Freelancers represent and warrant that they legally hold or have acquired all necessary intellectual property rights, licenses, or permissions for any portfolio images, videos, sample files, or marketing content uploaded to the platform servers.
3.3 Right to Remove Content
Iselino reserves the full right, at its sole discretion, to remove, unpublish, or modify service listings or Gigs that violate this Agreement, fail to meet platform quality guidelines, break corporate regulations, or infringe on third-party rights or statutory laws.
4. Payments, Fees & Payout Processing
4.1 Limited Collection Agent Status
- The Freelancer appoints Iselino to operate as a limited payment collection agent solely to receive transaction funds from Employers on their behalf.
- All underlying marketplace fund flows are handled securely through our authorized third-party payment partner, Stripe.
4.2 Escrow Mechanics & Fund Releases
Employer funds are held securely within our system escrow pool upon checkout. Balance parameters are safely transferred and cleared into the Freelancer's available platform balance once:
- The Employer formally clicks to approve project completion via the platform tools, or
- A formal dispute ticket is thoroughly resolved and decided by our customer support mediation team.
4.3 Tiered Platform Commission
Iselino charges the Freelancer a sliding scale service commission based on the total monetary gross value of a successfully completed order. This commission is automatically deducted from the final payout amount:

(Note: Employers are separately subject to a 5% system platform fee applied directly during digital checkout operations).
4.4 Payout Details & Bank Fees
- Freelancers must supply fully accurate, legally verifiable, and up-to-date bank routing configuration details inside their dashboard parameters.
- Minimum Payout Amount: To safely control banking transactional costs, the absolute minimum value for requesting an outbound balance withdrawal is fixed at €20.00.
- Bank Transfer Fees (SHA Framework): Outbound transfers apply a shared fee structure. Iselino handles incoming gateway charges from Stripe to acquire funds. Any landing fees, intermediary corresponding bank commissions, or currency transformation costs applied by the Freelancer's destination bank remain the exclusive liability of the Freelancer.
- Iselino disclaims any liability for transaction delays triggered by malformed banking details, general clearance network hiccups, or mandatory public payment compliance procedures.
4.5 Security Protection & Fraud Holds
We reserve the explicit right to delay, withhold, or temporarily freeze payout transactions under specific protection parameters, including:
- Pending profile identity verification protocols (KYC or Anti-Money Laundering checks).
- Sudden suspicious access notifications or erratic project generation velocity.
- Open dispute cases or incoming threats of external banking chargebacks.
- Safety Clearance Hold: Cleared funds are subject to a standard security hold period lasting 7 to 14 days post-completion to buffer the ecosystem against credit card testing and fraudulent activities.
5. Taxes & VAT
- 5.1 Freelancer Tax Responsibility: Freelancers are solely and completely responsible for determining, declaring, tracking, and paying all applicable local revenue taxes, national income tax sheets, business filings, social security distributions, or localized VAT/sales taxes emerging from income generated on Iselino within their primary tax jurisdictions.
- 5.2 No Tax Withholding: Iselino operates strictly as a digital marketplace infrastructure and does not calculate, report, withhold, or remit individual taxes on behalf of Freelancers, unless explicitly mandated to do so by overriding legal cross-border requirements.
- 5.3 Invoicing: Freelancers are exclusively responsible for creating and issuing accurate commercial invoices or legally required tax receipts directly to their Employers for the freelance solutions rendered through our system, wherever demanded by active regional financial codes.
6. Prohibited Conduct
Freelancers agree to totally abstain from the following forbidden behavioral activities:
- Offering illicit, deceptive, hazardous, adult-oriented, or highly manipulative services.
- Platform Circumvention (Fee Avoidance): Attempting to redirect communications, message coordinates, service specifications, or financial payouts away from Iselino's digital payment ecosystem.
- Violating or infringing on third-party copyrights, trademark files, patent rights, or privacy settings.
- Manipulating metrics, purchasing fraudulent reviews, or rigging system ranking scripts.
- Harassing, extorting, insulting, threatening, or abusing Clients or internal support agents.
7. Ratings & Reviews
- Employers possess the unhindered right to issue objective ratings and written text reviews summarizing the quality of service following successful completion.
- Freelancers may not artificially manipulate, influence, or falsify review entries by offering unauthorized discounts, refund kickbacks, cash incentives, or applying coercive pressure.
8. Suspension & Account Termination
Iselino reserves the full right to issue warnings, restrict access, temporarily suspend, or permanently terminate a Freelancer account with immediate effect if they:
- Violate any terms listed in this Agreement or general Terms and Conditions.
- Engage in financial fraudulent actions, card looping, or illegal profile setups.
- Attempt system circumvention or intentional fee avoidance structures.
- Create significant monetary, legal, technical, or reputational risks for Iselino.
9. Intellectual Property & Indemnification
9.1 IP Ownership
Freelancers retain original copyright and ownership of the intellectual property of their created digital artifacts, unless specific IP transfers are explicitly mandated or agreed upon otherwise within the direct service contract arranged with the Employer.
9.2 Platform Marketing License
Freelancers grant Iselino a non-exclusive, worldwide, royalty-free, perpetual license to safely host, visually display, translate, and distribute portions of their portfolio screenshots, profile biographies, and text strings across digital channels for marketing and ecosystem promotion purposes.
9.3 Indemnification
Freelancers agree to fully defend, indemnify, and hold completely harmless Iselino, Fina Iselino Ltd, and its working directors from any legal claims, liabilities, financial damages, regulatory fines, or structural losses stemming from the services delivered by the Freelancer, localized tax evasion, third-party IP infringements, or explicit breaches of this Agreement.
10. Limitation of Liability
To the maximum extent permitted by applicable laws, Iselino shall not be held liable to Freelancers for active Employer project arguments, lost commercial revenue, business interruption intervals, data loss anomalies, or indirect financial damages. Iselino does not guarantee continuous, completely uninterrupted, or bug-free marketplace website performance.
11. Compliance & Fraud Prevention
- Freelancers are required to promptly submit official identity verification documents (KYC files) upon system query to satisfy Anti-Money Laundering (AML) standards and cross-border payment rules.
- Accounts suspected of deploying compromised financial instruments, executing self-payments, or scamming platform users will be instantly blocked and forwarded to relevant legal authorities.
12. Governing Law & Jurisdiction
- This Agreement, along with its interpretation, shall be governed by and construed strictly in alignment with the laws of the United Kingdom.
- Any unavoidable legal claims, disputes, or courtroom processes arising out of this text shall be submitted to the exclusive jurisdiction of the competent courts in London, United Kingdom.
