Iselino – Seller Agreement

This Seller Agreement (“Agreement”) governs the relationship between Iselino and users who offer services as Sellers (“Sellers”) on the Iselino platform.
Iselino is operated by Fina Group d.o.o., Ulica Rista Lekica bb, 85000 Bar, Montenegro (“Iselino”, “we”, “us”).
By creating a Seller account or offering services on Iselino, you agree to this Agreement, the General Terms & Conditions, and all incorporated policies.
1. Seller Status & Relationship
1.1 Independent Contractor
Sellers act as independent contractors and not as employees, agents, partners, or representatives of Iselino.
Sellers are solely responsible for the services they provide, including pricing, delivery, quality, and compliance with applicable laws.
1.2 No Agency
Sellers are not authorized to bind Iselino, enter into contracts on behalf of Iselino, or represent themselves as acting for Iselino.
1.3 Service Contract
Each service contract is concluded directly between the Seller and the Buyer.
Iselino operates solely as a technology platform that facilitates connections between Buyers and Sellers and is not a party to such contracts.
2. Eligibility & Seller Obligations
To offer services on Iselino, Sellers must:
- Be at least 18 years old
- Provide accurate, complete, and lawful information
- Offer and deliver services professionally and as described
- Comply with all applicable laws and regulations
Sellers are solely responsible for the accuracy of their listings and the services they provide.
Seller accounts are personal and may not be transferred, sold, or assigned to another person.
3. Service Listings & Content
3.1 Listings
Service descriptions must be clear, truthful, and not misleading.
Listings must accurately describe the service being offered, delivery time, and any applicable requirements.
3.2 Content Rights
Sellers warrant that they own or have all necessary rights to any content, materials, or media uploaded to the platform.
Sellers must not upload content that infringes copyrights, trademarks, or other intellectual property rights.
3.3 Removal of Listings
Iselino reserves the right to remove or restrict listings that violate this Agreement, applicable laws, or platform policies.
Listings may also be removed for quality, compliance, or security reasons.
4. Payments, Fees & Payment Processing
4.1 Payment Collection
Iselino collects payments from Buyers as a limited payment agent on behalf of Sellers.
Payments are processed through authorized third-party payment providers, which may include Paymentwall or other approved providers.
4.2 Escrow & Release
Payments may be held in escrow until the Buyer confirms that the service has been completed in accordance with the order requirements.
Funds are released to Sellers once:
- the Buyer confirms completion, or
- a dispute is resolved according to platform policies.
4.3 Fees & Commissions
Iselino charges Sellers a commission based on the total transaction amount (excluding applicable taxes):
- €1 – €100: 10%
- €101 – €500: 9%
- €501 – €2,000: 8%
- €2,001 – €5,000: 7%
- €5,001 and above: 5%
The applicable commission is automatically deducted from the Seller’s payout.
In addition, Buyers are charged a 5% platform service fee, added to the Buyer’s total payment at checkout.
All fees are clearly displayed before order confirmation.
4.4 Payout Details
Sellers must provide accurate and up-to-date payout information.
Seller earnings may be withdrawn once funds are cleared and the order is marked as completed.
- Minimum payout amount: €200
- Platform payout fee: None
- Bank transfer fees: Payouts are processed using a shared (SHA) fee structure. Iselino covers fees charged by its payment provider; any fees charged by the Seller’s receiving bank or intermediary banks are the responsibility of the Seller.
Iselino is not responsible for delays caused by incorrect payout information, banking systems, payment providers, or regulatory verification requirements.
4.5 Security Period
Iselino may delay payouts for security reasons, including:
- Identity verification (KYC) pending
- Suspicious account activity
- Orders under dispute or potential chargebacks
Payouts may be held 7–14 days after order completion to reduce risk of fraud and chargebacks.
5. Taxes & VAT
5.1 Seller Tax Responsibility
Sellers are solely responsible for determining, declaring, and paying all taxes arising from their activities, including income tax, VAT, sales tax, or similar taxes.
5.2 No Tax Withholding
Iselino does not withhold or remit taxes on behalf of Sellers unless legally required.
5.3 Invoices
Sellers are responsible for issuing invoices or receipts to Buyers where required by applicable laws.
6. Prohibited Conduct
Sellers may not:
- Offer illegal, unethical, or misleading services
- Circumvent the platform or request off-platform payments
- Infringe intellectual property or privacy rights
- Manipulate ratings, reviews, or platform systems
- Harass, threaten, or abuse Buyers or other users
- Upload malicious software or harmful content
7. Ratings & Reviews
Buyers may leave ratings and reviews following service completion.
Sellers may not influence, manipulate, or incentivize reviews.
Iselino reserves the right to remove fraudulent, misleading, or abusive reviews.
8. Suspension & Termination
Iselino may suspend or terminate Seller accounts if Sellers:
- Violate this Agreement or platform policies
- Engage in fraud or unlawful conduct
- Attempt to bypass the platform
- Create legal, financial, or reputational risk for Iselino
Iselino may temporarily suspend accounts while investigating suspicious activity.
9. Intellectual Property & Indemnification
9.1 Ownership
Sellers retain ownership of their work unless otherwise agreed with the Buyer.
9.2 License to Iselino
Sellers grant Iselino a non-exclusive, worldwide, royalty-free license to host, display, promote, and distribute Seller content on the platform.
9.3 Indemnification
Sellers agree to indemnify and hold harmless Iselino from any claims, damages, losses, or liabilities arising from:
- Services provided by the Seller
- Intellectual property infringements
- Violations of applicable laws
- Breaches of this Agreement
10. Limitation of Liability
To the maximum extent permitted by law, Iselino shall not be liable for:
- Seller services or Buyer disputes
- Lost profits or business interruption
- Data loss or indirect damages
Iselino does not guarantee uninterrupted or error-free operation of the platform.
11. Compliance & Fraud Prevention
Iselino may request additional information or documentation from Sellers to comply with:
- Anti-money laundering (AML) regulations
- Counter-terrorism financing (CTF) laws
- Other financial regulatory requirements
Accounts suspected of fraud, scams, or illegal activity may be suspended or permanently removed.
12. Governing Law & Jurisdiction
This Agreement is governed by the laws of Montenegro.
Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Bar, Montenegro.
13. Changes to this Agreement
Iselino reserves the right to modify or update this Agreement at any time.
Sellers will be notified of significant changes through the platform or by email.
Continued use of the platform after such changes constitutes acceptance of the updated Agreement.
