1. General Terms & Conditions (Platform Terms)
1.1 About Iselino
- Intermediary Platform: Iselino is an online marketplace platform that enables independent service providers (“Freelancer”) to offer services to customers (“Employer”).
- Technical Provider: Iselino acts solely as an intermediary and technical platform provider. It facilitates connections between Employers and Freelancers.
- No Supervision or Employment: Iselino does not employ Freelancers, does not supervise their work, and does not guarantee the quality, legality, or safety of services offered on the platform.
- Exclusion of Contractual Party: Iselino is not a party to the service contract between Employer and Freelancer and does not provide the services listed on the platform.
- No Partnership: No employment, agency, partnership, or joint venture relationship is created between Iselino and Freelancers.
1.2 Account Registration
- Minimum Age: Users must be at least 18 years old and fully competent to enter into legally binding contracts.
- Accuracy of Information: Information provided during registration and profile creation must be accurate, truthful, and kept up to date.
- Account Security: Users are solely responsible for maintaining the security and confidentiality of their accounts, credentials, and passwords.
- Single Account Policy: Each user may maintain only one account unless expressly authorized in writing by Iselino.
- Non-Transferability: User accounts are personal and may not be transferred, sold, or assigned to another person or entity.
- Suspension and Termination: Iselino reserves the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activities.
1.3 Use of the Platform
Users expressly agree to:
- Use the platform lawfully and in strict accordance with all applicable local and international regulations.
- Not infringe upon any third-party rights, including intellectual property, trademark, or privacy rights.
- Not upload misleading, false, defamatory, illegal, or harmful content.
- Not interfere with, disrupt, or compromise the platform's security, performance, or operational integrity.
1.4 Off-Platform Transactions (Circumvention Prohibited)
- Bypassing Restriction: Users may not attempt to bypass the platform by arranging payments, negotiations, or services outside of the Iselino ecosystem.
- Sanctions: Accounts engaging in or encouraging off-platform transactions will be subject to immediate temporary suspension or permanent termination.
2. Freelancer Terms
2.1 Freelancer Status
Freelancers act entirely in their own name, on their own behalf, and as independent contractors or businesses. Freelancers are solely responsible for:
- The accuracy, completeness, and legality of service listings, offers, and Gigs.
- The timely delivery, performance, and overall quality of the provided services.
- Full compliance with all applicable commercial, legal, and local regulations in their respective country.
2.2 Freelancer Taxes
- Tax Responsibility: Freelancers are solely responsible for declaring, reporting, and paying any taxes arising from their platform income, including income tax, VAT, GST, or similar taxes in their jurisdiction.
- No Withholding: Iselino does not withhold income taxes, social security contributions, or any fiscal levies on behalf of Freelancers.
2.3 Freelancer Verification (KYC)
Freelancers may be required to successfully complete identity verification procedures before offering services or withdrawing funds. Verification may include, but is not limited to:
- Government-issued identification (e.g., passport, ID card, driver's license).
- Proof of address (e.g., utility bill, bank statement).
- Business registration documents and corporate verification (for legal entities).
- Right to Restrict: Iselino reserves the right to suspend or restrict account functionalities if verification requirements are not fulfilled or fail standard compliance checks.
3. Employer Terms
3.1 Purchasing Services
- Direct Contractual Agreement: By placing an order, funding a milestone, or accepting a proposal, the Employer enters into a direct, legally binding contract with the respective Freelancer.
- No Outcome Guarantee: Iselino does not guarantee specific service outcomes, project completion times, or Employer satisfaction with results.
3.2 Consumer Rights (EU & UK Clients)
- Statutory Protections: If the Employer is a consumer located in the European Union (EU) or the United Kingdom, statutory consumer protection laws apply to their interactions.
- Immediate Performance Waiver: For digital services, the Employer expressly agrees that execution of the service may begin immediately upon order confirmation. The Employer explicitly acknowledges and agrees that the statutory right of withdrawal is lost once the performance of the service has started.
4. Payments, Fees & Commissions
4.1 Payments
- Authorized Processors: Payments are processed securely through authorized third-party payment service providers, primarily Stripe.
- Escrow Holding: Funds are held securely within the platform's transactional system until service completion is confirmed or a dispute is resolved.
4.2 Platform Fees & Commissions
Iselino charges platform service fees on completed transactions to maintain the underlying technology, security, and operational framework:
Freelancer Commission (Sliding Scale)
Applied based on the total transaction amount and automatically deducted from the Freelancer’s gross payout:

Employer Fee
- Employers are charged a flat 5% platform service fee on all transaction amounts, which is dynamically calculated and added to the total price at checkout.
- This fee is non-refundable once a transaction has been successfully initiated.
- All applicable fees are transparently displayed before the Employer's final order confirmation.
4.3 Escrow & Milestone System
- Secure Escrow: Payments are safely held by the platform until the Employer confirms that the service has been completed in accordance with the specified order requirements.
- Dispute Review: If a dispute arises, Iselino may review the case history, deliverable files, and communications to determine the appropriate release, split, or refund of funds between the Employer and the Freelancer.
4.4 Payouts
- Cleared Funds: Freelancer earnings may be requested for withdrawal once funds have successfully cleared and the corresponding order is officially marked as completed in the system.
- Security Controls: Iselino may apply security holding periods, verification checks, or minimum withdrawal thresholds before payouts are processed to combat fraud.
5. Tax & VAT Policy (Platform Services)
5.1 Tax Registration Status
Iselino (Fina Iselino Ltd.) operates under the statutory VAT registration thresholds of the United Kingdom.
Consequently, no VAT (Value Added Tax) is currently charged or explicitly displayed on Iselino’s platform fees or subscription packages. All fees shown at checkout are final and gross.
Once the platform reaches the statutory threshold and registers for UK VAT, users will be formally notified, and VAT will be applied to Iselino’s service fees in strict accordance with UK tax regulations.
5.2 Underlying Services
- Independent Service Contract: The underlying service contract is exclusively between the Employer and the Freelancer. Iselino is not the seller or supplier of the listed services and Gigs.
- Invoicing Accountability: Freelancers remain entirely and solely responsible for the correct VAT/tax treatment, reporting, and legally compliant invoicing of the services they provide to Employers through the platform.
6. Cancellations, Refunds & Disputes
6.1 Cancellations
Orders may be cancelled before the work officially begins by mutual agreement between the Employer and the Freelancer through the automated platform cancellation tools.
6.2 Disputes
- Resolution Channels: If a dispute arises, Users must first attempt a good-faith resolution using the platform's communication tools.
- Arbitration Authority: Iselino may act as a neutral mediator. Any determination or decision made by Iselino regarding the release or return of escrowed funds is final to the maximum extent permitted by law.
6.3 Chargebacks
- Account Suspension: In the event of a chargeback, payment dispute, or reversal initiated via Stripe or a user's financial institution, Iselino may temporarily suspend the account while the case is reviewed.
- Fraud Mitigation: Accounts associated with repeated, systematic, or fraudulent chargebacks will be permanently terminated.
7. Intellectual Property
- Ownership of Work: Freelancers retain ownership of their intellectual property and work products unless otherwise explicitly agreed upon in their direct contract with the Employer.
- Platform License: By uploading content (such as portfolios, gig descriptions, images, or text), Users grant Iselino a non-exclusive, worldwide, royalty-free, perpetual license to host, display, and promote such content on the platform for marketing purposes.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Iselino is not liable for service quality, project delays, errors, structural omissions, or user conduct.
- Iselino shall not be liable for any indirect, incidental, or consequential damages.
- Total aggregate liability is strictly limited to the actual fees paid to Iselino by the user in the preceding twelve (12) months.
9. Suspension & Termination
Iselino reserves the right, at its sole discretion, to suspend or terminate user accounts for violations of these terms, fraudulent actions, payment abuse, platform circumvention, or any behavior that introduces legal risks to the company.
10. Governing Law & Jurisdiction
- Governing Law: These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of the United Kingdom (England & Wales).
- Jurisdiction: Exclusive jurisdiction for any legal proceeding lies with the competent courts located in London, United Kingdom.
